Legal information covering the Enact Energy Insulation Scheme

Enact Energy is a brand name used by the Enact group of companies. This service is managed by Enact Energy Renewables Limited registered in England and Wales Co. No: 7057417. Registered Office: 14 High Cross, Truro, Cornwall TR1 2AJ (“Enact”).

Enact uses a panel of third party installers who will carry out the cavity wall/loft suitability assessment of your property and also the installation of the cavity wall or loft insulation. The Installer who carries out the suitability assessment may not be the same Installer who carries out the installation of the cavity wall or loft insulation.

Interpretation
The definitions of interpretation below apply in these paragraphs:

Assessment Form: the cavity wall/loft insulation suitability and assessment form prepared by the Installer.
Installer: the allocated third party installer appointed by you to undertake an assessment and/or to install any measures as identified in the Assessment Form.
Services: the assessment as to the suitability or otherwise of your property for installation of energy efficient measures being cavity wall insulation and or loft insulation and/or the installation of such measures.

Background
Enact sources funding from various utility companies for the provision of energy efficient measures, in particular cavity wall and loft insulation, who will provide funding to customers by way of grants (where applicable). Enact refers the assessment and installation works to a panel of Installers and so you must contract with the Installer who will then carry out the suitability assessment and/or install such energy efficient measures under a separate contract for which Enact does not accept any liability whatsoever.

YOUR obligations
In order for the Installer to carry out the Services as efficiently as possible you must:

co-operate with us and/or the Installer in all matters relating to the provision of the Services;
provide us, the installer, our agents, subcontractors, consultants and employees, in a timely manner and at no charge, with access to your premises as reasonably required by us and/or the Installer;
provide to us and/or the Installer, in a timely manner, such information as may reasonably be required, including but not limited to landlords consent, proof of benefits and proof of age, and ensure that it is accurate in all material respects;
unless agreed with the installer, be responsible (at your own cost) for preparing and maintaining the relevant premises for the supply of the Services, including identifying, monitoring, removing and disposing of any hazardous materials from your premises in accordance with all applicable laws, providing a safe means of access from the public highway to your property, preparing the location within your property including the removal of belongings to enable the Services to be carried out, before and during the supply of the Services at those premises.

Charges and payment
You shall be responsible for paying the Installer for the charges due for the provision of Services in accordance with the terms of your agreement with the Installer should you decide to proceed with the installation.

Limitation of liability - THE CUSTOMER´S ATTENTION IS PARTICULARLY DRAWN TO THIS CONDITION
Nothing in these paragraphs limits or excludes our liability:

for death or personal injury resulting from negligence; or
for any damage or liability incurred by you as a result of fraud or fraudulent misrepresentation by us.

We shall not be liable for any actions or omissions of any third party including the Installer. In the event that you agree a limitation of liability with any third party, you agree that our liability to you will not be increased due to the limitation of liability agreed by you with third parties. Our liability to you under or in connection with the Services shall be limited to that proportion of the total losses (after taking into account any contributory negligence, if any) determined to be just and equitable having regard to the extent of our responsibility for the losses in question.

About your information and Data Protection
Enact Energy Renewables Limited is the data controller and is part of the Enact group. For more information about Enact please visit www.enactenergy.co.uk. Your data will be processed by Enact (“we”, “us”), other members of Enact’s group of companies, energy providers and one or more installers selected from Enact’s panel of installers (“Installer”).

Your privacy is very important to us and we promise that we will do our best to protect your personal information and make sure that it is accurate and kept up to date. You can help us do this by letting us know if there are any changes to your information.

What sort of information do you hold about me?
This will be all the details we and the Installer have about you (including any benefit details), and your property. It will include any information we get from third parties.

What do you do with the information?
Your information is used to help us:

assess the suitability of your property or enable an Installer to assess your property
refer the insulation works to an Installer to carry out works at your property
understand our customer’s needs and requirements
develop and test products and services
claim available funding from energy providers

Who do you share my information with?
We won’t share your personal information with anyone other than other members of Enact’s group of companies, energy providers from whom funding may be claimed and the Installer except:

where you have given us your permission
where we have to do so or allowed to by law
other companies that help us provide our service to you
where we may transfer our rights and obligations under this agreement

Do you send my information out to other countries?
We might do this, but only when we can be sure that your information will get an adequate level of protection. Your information might be assessed by law enforcement agencies and other authorities to prevent and detect crime or comply with other legal obligations.

What will happen if you change how my information is used?
We might do this from time to time. If we think you would not expect this change, we will write and tell you about it. If we don’t hear from you within 60 days, you agree to the change.

Can I see the information that you hold about me?
Yes, if you would like a copy of the personal information that we hold about you please write to Enact Energy, FREEPOST NATW1078, Tolvaddon, TR14 0ZZ.

Will you send me marketing information?
We will only send you information about other Enact products that we think you would like to hear about and offers from other carefully chosen companies if you told us that you are happy for us to do this. You can change your mind at any time by contacting 0800 093 4050.

Terms & Conditions for the provision of the Suitability Assessment

These Terms apply where you have asked us to carry out an Assessment at your Property. Please note that separate terms and conditions will apply if you decide to proceed with the installation of a System.

1 INTERPRETATION
1.1 The definitions in this condition apply in the terms and conditions set out in this document:
“Assessment”our assessment as to the suitability or otherwise of your Property for the installation of a System;
“Assessor” an assessor employed or sub-contracted to us who will carry out the Assessment at your Property;
“Assessment Confirmation Letter” the letter from us to you to confirm the date of the Assessment;
“Contract” the contract that is formed between us in relation to the provision of the Assessment (following your signature on the Customer Assessment Confirmation Form attached to the Assessment Confirmation Letter). This contract incorporates these Terms and the Assessment Confirmation Letter;
“Force Majeure Event”shall have the meaning given in condition 11;
“Property”the property stated in the Assessment Confirmation Letter that is owned or rented by youat which the Assessment is to be carried out;
“System”the system or product that, subject to the outcome of the Assessment, you would like to have installed by us at your Property;
“Terms”the terms and conditions set out in this document;
“we”or “us”Enact Energy Renewables Limited, a company incorporated and registered in England and Wales with company number 7057417 whose registered office is at 14 High Cross, Truro, Cornwall TR1 2AJ, and “our” shall have the appropriate meaning;
“writing” or “written”includes faxes and e-mail; and
“you”the person named on the Assessment Confirmation Letter, and “your” shall have the appropriate meaning.
1.2 Headings do not affect the interpretation of these terms.

2 THE BASIS OF THE CONTRACT BETWEEN US
2.1 These Termsshall apply to the provision of an Assessment by us to you under the Contract.
2.2 When our Assessor visits your Property, they will ask you to sign the Customer Assessment Confirmation Form section on a copy of the Assessment Confirmation Letter (unless you have already completed and returned such letter). By doing so you will be confirming that you:
(a) accept these Terms; and
(b) want the Assessor to proceed with the Assessment,
and a Contract will become binding on you and us. Please note that we cannot undertake an Assessment until you have provided a signed copy of the Assessment Confirmation Letter to us.
2.3 You may cancel the Assessment at any time before the agreed date of the Assessment as specified in the Assessment Confirmation Letter (or as otherwise agreed between us) by either:
(a) providing us with written notice; or
(b) calling our contact centre using the telephone number printed on the Assessment Confirmation Letter.
2.4 We have the right to revise and amend these Terms from time to time to reflect changes in market conditions affecting our business, changes in technology, changes in relevant laws and regulatory requirements and changes in our system's capabilities. You will be subject to the policies and terms in force at the time that you book an Assessment, unless any change to those policies or these Terms is required by law or government or regulatory authority.

3 THE ASSESSMENT
3.1 We will use reasonable efforts to carry out the Assessment on the date we agree (whether as stated in the Assessment Confirmation Letter, or discussed at a later date), but if we need to rearrange the Assessment we will tell you as soon as we can and we will try to arrange an alternative date with you.
3.2 If you need to change the date for the Assessment you must call us as soon as you are able to and we will try to arrange an alternative date with you.
3.3 We will use our reasonable efforts to carry out an Assessment at your Property in accordance with these Terms and the Assessment Confirmation Letter. Please note that we may take photographs of your Property during the Assessment where we need to keep a visual record of the work that is required.
3.4 Following completion of the Assessment we will give you an indication of the likely costs of installing the System.
3.5 Please note that:
(a) it may not always be possible for us to install a System at your Property and we will tell you if this is the case and explain what the problem is; and
(b) the indication of the likely costs of installing the System is provided by way of a guide only. We will provide you with a detailed quotation if you request one from us.
3.6 In some cases there may be extra works that are needed before the installation of a System can take place. We will tell you about any such works and, if it is works we can assist with, give you a quote for carrying them out.
3.7 In some cases it may not be possible for us to complete the Assessment on our first visit. If this is the case then we will arrange a time to come back to your Property to complete the Assessment.
3.8 In some cases we may need to carry out an additional Assessment due to any changes to the products we have identified for your System. The products can change due to a variety of factors including, but not limited to, discontinuation by the manufacturer, availability or an extended period of delay.

4 PRICE AND PAYMENT
There is no charge for an Assessment; we agree to provide the Assessment in consideration of you agreeing to your obligations under these Terms.

5 OUR RIGHTS TO CANCEL
5.1 We may cancel any Contract between us by writing to you at any time where:
(a) you fail to do any of the things you need to do under the Contract between us and this prevents us from carrying out an Assessment, or makes the Assessment more difficult to perform; or
(b) we discover anything while we are carrying out an Assessment that prevents us from carrying out the Assessment.
5.2 When we write to you to cancel the Contract between us, we will set out the reasons for the cancellation in our letter.

6 OUR CONTACT CENTRE
6.1 We have a contact centre available to take your calls and the hours when it is open are published on our website.
6.2 We will try to answer your call as soon as we can, however, please bear in mind that responses may be slower in busy periods.

7 THINGS YOU WILL NEED TO DO
7.1 You agree to:
(a) co-operate with us when we are providing an Assessment;
(b) give us (and anyone representing us) access to your Property on the date we have agreed for the Assessment, together with any extra dates we require to finish the Assessment;
(c) make sure that we have access to supplies of water and electricity where we need these for the Assessment;
(d) give us any information about you and your Property that we ask for as soon as possible;
(e) ensure that any information you give us is accurate and complete;
(f) make sure that you prepare your Property (at your own cost) to enable us to have access for the purpose of carrying out the Assessment. You also agree to follow any instructions we give you in respect of your Property to make sure we can carry out the Assessment;
(g) obtain any consent that is required from any landlord of your Property and, if you own the Property with anyone else, to ensure that all your co-owners have consented to the Assessment; and
(h) make sure you have protected your belongings and that you have moved any valuable or breakable items out of the areas we need access to and into a safe place.

8 PROBLEMS WITH THE WORK WE DO AND DAMAGE TO YOUR PROPERTY
8.1 We will use reasonable care and skill when we carry out the Assessment and we will use reasonable efforts not to damage your Property.
8.2 In the event that any damage is caused to your Property as a result of our undertaking the Assessment:
(a) you must use reasonable efforts to give written notice of the damage within 90 days of the completion of the Assessment (or if any damage is hidden from view, within 90 days of the time when you become aware of it);
(b) you must give us a reasonable opportunity to repair any damage caused to your Property;
(c) we will try to repair any damage:
(i) within 24 hours if the damage affects the health and safety of anyone who lives in your Property, or could affect the health and safety of anyone outside the Property;
(ii) within 24 hours if the damage or defect has a significant impact on any vulnerable people outside or living in your Property (for instance children or anyone who is elderly or disabled);
(iii) within 10 days in all other circumstances.
8.3 We will use reasonable efforts to minimise the amount of dust and other debris that may be caused during any Assessment. We will try to advise you about the areas which are likely to be affected and you are responsible for ensuring that any possessions are suitably protected or moved from the areas where the dust or debris is likely to spread.

9 INTELLECTUAL PROPERTY RIGHTS
9.1 The trade marks, copyright, design right and all other intellectual property rights in any materials and other documents or items that we prepare or produce for you in connection with the Assessment will belong to us absolutely.
9.2 You may not use the materials, documents or other items detailed in condition9.1 for any commercial purpose.

10 LIMITATION OF LIABILITY
10.1 No provision of these Terms will adversely affect your rights as a consumer (as defined in the Unfair Contract Terms Act 1977, the Unfair Terms in Consumer Contracts Regulations 1999 and the Consumer Protection from unfair Trading Regulations 2008).
10.2 Subject to condition10.3, if either of us fails to comply with these Terms, neither of us shall be responsible for any losses that the other suffers as a result, except for those losses which are a foreseeable consequence of the failure to comply with these Terms.
10.3 Neither of us shall be responsible for losses that result from our failure to comply with these Terms including, but not limited to, losses that fall into the following categories:loss of income or revenue; loss of subsidy or other financial benefit; loss of business; loss of anticipated savings; loss of data; orany waste of time.This condition10.3 shall not, however, prevent claims for foreseeable loss of, or damage to, your Property as described in condition 8.
10.4 We will not be liable to you if we are prevented or delayed from complying with our obligations under the Contract by anything you or anyone acting on your behalf does or fails to do.
10.5 This condition does not include or limit in any way our liability for:
(a) death or personal injury caused by our negligence; or
(b) fraud or fraudulent misrepresentation; or
(c) any breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or
(d) losses for which it is prohibited by section 7 of the Consumer Protection Act 1987 to limit liability; or
(e) any other matter for which it would be illegal or unlawful for us to exclude or attempt to exclude our liability.

11 EVENTS OUTSIDE OUR CONTROL
11.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (“Force Majeure Event”).
11.2 A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond our reasonable control and includes, in particular (without limitation), the following:
(a) strikes, lock-outs or other industrial action; or
(b) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; or
(c) fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster; or
(d) impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; or
(e) impossibility of the use of public or private telecommunications networks.
11.3 Our obligations under these Terms are suspended for the period that the Force Majeure Event continues, and we will have an extension of time to perform these obligations for the duration of that period. We will take reasonable steps to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms can be performed despite the Force Majeure Event.

12 DATA PROTECTION
12.1 We are a registered data controller under the Data Protection Act and are committed to treating all information you provide in accordance with our legal obligations.
12.2 The personal information you provide to us, including your contact details and information regarding your Property will be used by us to undertake an Assessment, and provide you with a quotation for the installation of a System, and contact you about our and our partners’ similar services and products.
12.3 If you wish to change your marketing preferences at any time, or have any other queries regarding data protection, please contact us using the details printed on the Assessment Confirmation Letter.

13 GENERAL
13.1 The Contract constitutes the whole agreement between you and us for the provision of the Assessment and supersedes any other terms and conditions previously published by us, and any other representations or statements made by us to you, whether oral, written or otherwise, are excluded.
13.2 We reserve the right to amend these Terms or any products or services we supply where we need to do so because of a change in any law or regulation, a change in the funding that is available for these services or a change in the technology that is used for the Assessment or installation of any System.
13.3 Both of us acknowledge that no statement, representation, assurance or warranty (whether made negligently or innocently) has been relied on in entering into the Contract (except for the provisions expressly set out in the Contract). Nothing in this condition shall, however, limit or exclude any liability for fraud.
13.4 You may not transfer or sub-contract any of your rights or obligations under these Terms to a third party.
13.5 We may, at any time, assign, transfer or sub-contract all or any of our rights and obligations under these Terms to another organisation, but this will not affect your rights under these Terms.
13.6 Both of us are acting on our own behalf and not for the benefit of any other person.
13.7 No relaxation or delay by us in exercising any right or remedy under these Terms will operate as a waiver of that right or remedy or affect our ability to subsequently exercise that right or remedy. Any waiver must be agreed by you and us in writing.
13.8 We may correct any typographical error, mistake or omission in any documentation we supply to you without any liability on our part provided that, if the correction has a material impact on the service we provide or the price you pay, then we will inform you as soon as possible and offer you the option to cancel the Contract.
13.9 If any court or competent authority decides that any of the provisions of these Terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.
13.10 A person who is not party to these Terms shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.
13.11 The Contract, and any dispute arising out of it (including any non-contractual disputes or claims) shall be governed by English law and we both agree to the non-exclusive jurisdiction of the English courts.

Terms & Conditions for the provision of the Installation

These Terms apply where you have asked us to install a System at your Property.

1. INTERPRETATION

1.1 The definitions in this condition apply in the terms and conditions set out in this document:

“Assessment” our assessment as to the suitability or otherwise of your Property for the installation of a System;

“Assessment Form” the suitability and assessment form prepared by us outlining the result of the Assessment;

“Commissioning Form” the form provided by us to be signed by you to confirm that:

(a) the Installation has been completed and the System has been commissioned; and

(b) we have, or our sub-contractor has, explained:

I. how the System operates; and

II. how the System should be maintained;

“Contract” the contract that is formed between us in relation to the Installation (following your signature of the Order Confirmation Form and we issue you with a Deposit Confirmation). This contract incorporates these Terms and the Quotation;

“Deposit” the sum specified in the Quotation;

“Interim Payment” the sum specified in the Quotation;

“Deposit Confirmation” the letter from us to you to confirm that we have received your Deposit;

“EPC” Energy Performance Certificate

“Force Majeure Event” shall have the meaning given in condition 13;

“Installation” the installation of the System (including any extra or additional works specified in the Quotation, including but not limited to the EPC, or as otherwise agreed by us) by us at the Property in accordance with Assessment Form and these Terms;

“Installation Confirmation” the letter from us to you to confirm the date that we have agreed with you for the commencement of the Installation;

“Order Confirmation Form” the form signed by you to confirm that you wish to proceed with the Installation;

“Property” the property stated in the Installation Confirmation that is owned or rented by you, or for which you hold the requisite authority to deal, at which the Installation is to be carried out;

“Quotation” a quotation for the Installation provided by us to you following completion of an Assessment;

“REIGA” the Renewable Energy Installation Guarantee Agency;

“System” the system agreed to be installed by us at your Property as set out in the Quotation;

“Terms” the terms and conditions set out in this document;

“we” or “us” Enact Energy Renewables Limited, a company incorporated and registered in England and Wales with company number 7057417 whose registered office is at 14 High Cross, Truro, Cornwall TR1 2AJ, and “our” shall have the appropriate meaning;

“writing” or “written” includes faxes and e-mail; and

“you” the person named on the Quotation, and “your” shall have the appropriate meaning.

1.2 Headings do not affect the interpretation of these terms.

2. THE BASIS OF THE CONTRACT BETWEEN US

2.1 These Terms shall apply to any Installation undertaken by us under the Contract.

2.2 We have agreed to provide a Quotation and proceed with the Installation on the basis that you either own the Property or have obtained all of the necessary consents of the owner of the Property and all areas in which the Installation will take place.

2.3 A Quotation is provided on the basis that a binding contract shall only come into existence in accordance with condition 2.5. A Quotation will be valid for a period of 30 days from the date stated on it, unless we notify you in writing that we have withdrawn it during this period.

2.4 If, having read and considered the Quotation and these Terms, you wish to proceed with an Installation you can sign the Order Confirmation Form attached to the Quotation to confirm that you:

(a) accept the Quotation;

(b) accept these Terms; and

By sending the signed Order Confirmation Form attached to the Quotation to us, together with payment of the Deposit, you are offering to enter into a binding contract with us, which we are free to accept or decline at our sole discretion.

2.5 These Terms shall become binding on you and us when we issue you with a Deposit Confirmation, at which point a contract shall come into existence between us.

2.6 You may cancel the Installation at any time before the date we have agreed to commence the Installation by providing us with written notice. If you do choose to cancel, we will refund any Deposit paid by you within 28 days of receipt of your cancellation notice. Please note that, unless we receive your cancellation notice within seven working days of the date on which you received the Deposit Confirmation from us, we will have the right to deduct an amount from your Deposit equivalent to the reasonable costs that we have incurred in processing your order for a System (including, but not limited to, any delivery charges, or EPC charges, that have been incurred by us).

2.7 We reserve the right to revise and amend these Terms and the Quotation or any products and services we supply from time to time to reflect changes in market conditions affecting our business, changes in technology that is used for any system or part thereof, changes in relevant laws and regulatory requirements including a change in any funding that is available and changes in our system´s capabilities. If we do amend the Quotation in this way you will be entitled to terminate the Contract and, notwithstanding condition 2.6, a full refund. You will be subject to the policies and terms in force at the time that you accept the Quotation, unless any change to those policies or these Terms is required by law or government or regulatory authority.

2.8 We may need to exchange products within your System, and/or alter the System layout due to factors outside our control including, but not limited to, product availability or manufacturer upgrades. If we do need to make any changes we will inform you and only replace any products with like for like products. If this change results in an additional cost to you you will be entitled to terminate the Contract and, notwithstanding condition 2.6, a full refund.

3. THE INSTALLATION

3.1 We will use reasonable efforts to carry out the Installation on the date we agree and within the timescales we agree, but if we need to rearrange the date of the Installation we will tell you as soon as we can and we will try to arrange an alternative date with you.

3.2 In the event that we must use an alternative installer to carry out the works at your Property, it is likely that the new installer will wish to carry out a new assessment at your Property. Subject to Condition 2.6, this will be at no cost to you.

3.3 If you arrange to carry out any extra works yourself (or through any other contractor), then you must ensure that those works are:

(a) carried out:

I. prior to the date from which we have agreed to carry out the Installation;

II. in a professional manner;

III. in accordance with any relevant professional standards; and

(b) safe.

We will not be liable for any damage to your Property, or for any delays, caused by any extra works that you have arranged yourself.

3.4 If you need to change the date for the Installation you must call us as soon as you are able to and we will try to arrange an alternative date with you.

3.5 For some systems, (for example heating systems) we may require you to take up all or some of your carpets and floor coverings, including tongue and groove, parquet hardwood, rubber or tiled floors before we start work and we will give you as much notice as possible if we need you to do so. It will be your responsibility to replace the floor when the Installation is completed.

3.6 We will use our reasonable efforts to erect any required scaffold and carry out the Installation at your Property in accordance with the Contract but we are unable to guarantee any timescales due to delays which are beyond our control.

3.7 Whilst we use all reasonable endeavours to ensure that products are delivered on time to construct your System we may need to rearrange the date of the Installation due to a delay in product deliveries due to excess demand in the marketplace or delay in the shipping of products, or a withdrawal of certain products from the market by the manufacturer.

3.8 In the event that an issue is discovered that may affect the health and safety of any persons at the Property, including but not limited to safety issues relating to adverse weather conditions, scaffold, your electrical wiring, your plumbing or your power supply, we may need to delay your Installation whilst the issues are resolved.

3.9 Following completion of the Installation we will ask you to sign the Commissioning Form to confirm that the Installation has been completed to your satisfaction and that you have been told how the System operates and should be maintained.

3.10 In order to help us maintain our standards of work we monitor a selection of all installations that we undertake. Where your Property is selected for monitoring, you agree to give our technical monitor access to your Property on a date we agree with you (on at least 48 hours’ notice) so that the monitoring can take place.

3.11 Please note that we may take photographs of your Property during the Installation where we need to keep a visual record of the work that is carried out by us.

4. EPC

4.1 Unless you confirm to us that you do not require an EPC, following receipt of your Deposit we will arrange for an EPC assessment to be carried out at your Property. The cost of the EPC will be set out in your Quotation and will be taken from the Deposit paid.

4.2 In the event that your EPC certificate indicates that your Property will achieve a grade D or above following the Solar PV installation, and you subsequently decide to cancel the Contract, you will not be entitled to a refund of the cost of the EPC.

4.3 Notwithstanding Condition 2.6 & Condition 4.4, in the event that your EPC certificate indicates that your Property will not achieve a grade D or above and you choose to cancel the Contact prior to the start of the Installation of the System you will be entitled to a refund of the cost of the EPC.

4.4 In the event that we have informed you prior to the payment of your Deposit that your Property is unlikely to achieve a grade D or above following the Installation but you have instructed us to continue with the EPC and you subsequently cancel the Contract you will not be entitled to a refund of the cost of your EPC.

4.5 We will retain a copy of your EPC certificate on our file and use the information to assist with the provision of services to you and any future services and you believe may be of interest to you.

5. DEFECTIVE PRODUCTS AND RETURNS

5.1 Subject to condition 5.5. in the unlikely event that the System or any part of the System, does not conform with these Terms, please let us know as soon as possible after completion of the Installation. If the issue cannot be resolved by telephone, we will arrange for an engineer to attend your Property to determine the problem with the System or part on a date agreed between us. If the engineer determines that the System or part of the System is faulty, we will arrange for the System or part to be repaired or replaced, on a date agreed between us, in accordance with Condition 6.2 and the manufacturer’s warranty.

5.2 With the exception of any restrictions set out in the manufacturer’s warranty concerning the term of product guarantees, these Terms will apply to any repaired or replacement System or part we install for you.

5.3 The standard manufacturers’ warranties apply to the products that make up the System.

5.4 If when we come to carry out the Installation it is found that the products supplied are faulty we may need to delay the Installation whilst we source a replacement part or product.

5.5 Any tampering or alteration of the system by you or any unauthorised or unqualified persons may invalidate the warranty and may lead to costs being incurred by you.

6. GUARANTEES

6.1 You will, upon completion of the Installation, be provided with guarantees from:

(a) In the case of Solar PV and Solar Thermal Systems, REIGA to cover the workmanship of the Installation for a period of 10 years from the date of the Commissioning Form;

(b) the person, firm or company who carried out the Installation Works to cover the workmanship of the installation for a period of 10 years from completion of the Installation; and

(c) the manufacturers of the System or any product within the System to cover manufacturing faults and defects with the product.

(d) Subject to Condition 6.2, provided that you notify us that the System is defective within 12 months following the date of Installation, we will, at our cost, arrange the removal and replacement of the defective product specified.

Please note that after the 12 month period you may be required to pay for any labour and carriage charges associated with the removal and replacement of any faulty component which is covered by a parts only guarantee.

6.2 If, during the site visit or following the replacement of the product, it is discovered that there was no fault with the product or that there was a fault but that it was due to an act or omission of you, or one of your representatives, then you will be required to reimburse us for any costs incurred in respect of the removal and replacement of the product, including any shipping costs.

7. PRICE AND PAYMENT

7.1 The price of the Installation will consist of:

(a) the charges set out in the Quotation; and

(b) any other amounts that we subsequently agree with you in writing for further work or a change to the scope of the Installation.

7.2 The price quoted does not include the cost of removal of dangerous waste material which could not have been reasonably foreseen at the time of Quotation.

7.3 The price of the Installation is payable by you as follows:

(a) the Deposit when you sign and return the Quotation;

(b) the Interim Payment when we confirm the installation date; and

7.4 Payment of all sums must be made by BACS transfer, cheque, debit or credit card. We accept payment with Visa (including Electron Credit), MasterCard, Solo and Maestro. Please note: If paying by credit card, an additional fee will be added and taken at the time of the payment that the credit card is used. Such fee will be set out in the Quotation.

7.5 If you do not make any payment due to us by the due date for payment (as set out in condition 7.3), we may charge interest to you on the overdue amount at the rate of 3% a year above the base lending rate of Barclays Bank plc from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You must pay us interest together with the overdue amount.

7.6 Once the final payment has been made by you the ownership of the System will pass to you.

8. OUR RIGHTS TO CANCEL

8.1 We may cancel any Contract between us by writing to you at any time where:

(a) you fail to do any of the things you need to do under the Contract between us and this prevents us from carrying out the Installation, or makes the Installation more difficult to carry out; or

(b) we discover anything prior to or while we are carrying out the Installation that prevents us from carrying out the Installation.

8.2 When we write to you to cancel the Contract between us, we will:

(a) set out the reasons for the cancellation in our letter; and

(b) refund the Deposit (less any fees relating to work we have carried out).

9. OUR CONTACT CENTRE AND BUSINESS HOURS

9.1 We have a contact centre available to take your calls and the hours when it is open are published on our website.

9.2 We will try to answer your call as soon as we can, however, please bear in mind that responses may be slower in busy periods.

9.3 We carry out installations during the week (Monday to Friday) and normally between 9am and 5pm. If you want us to work outside the normal working hours it may be necessary to make an additional charge which we will agree with you in advance.

10. THINGS YOU WILL NEED TO DO

10.1 You agree to:

(a) co-operate with us when we are providing the Installation;

(b) give us (and anyone representing us) access to your Property on the date we have agreed for the Installation, together with any extra dates we require to finish the Installation;

(d) make sure that we have access to free supplies of water and electricity where we need these for the Installation;

(e) give us any information about you and your Property that we ask for as soon as possible;

(f) ensure that any information you give us is accurate and complete;

(g) make sure that you prepare your Property (at your own cost) to enable us to have safe access for the purpose of carrying out the Installation. You also agree to follow any instructions we give you in respect of your Property to make sure we can carry out the Installation;

(h) obtain any consent that is required from any landlord of your Property and, if you own the Property with anyone else, to ensure that all your co-owners have consented to the Installation;

(i) make sure you have protected your belongings and that you have moved any valuable or breakable items out of the areas we need access to and into a safe place; and

(j) prior to the commencement of the installation:

I. obtain any planning permissions or listed building consent required by your local authority for the proposed Installation;

II. ensure that there are no restrictions in relation to your Property being in a conservation area or in an area of outstanding natural beauty that may affect the Installation;

III. ensure that you have notified us of any structural issues or notable defects within your Property which could be affected by the Installation;

(k) comply with the terms of all manufacturers warranties;

(l) Where applicable, ensure that the electrical supply to your Property is capable of operating a System.

11. PROBLEMS WITH THE WORK WE DO AND DAMAGE TO YOUR PROPERTY

11.1 We will use reasonable care and skill when we carry out the Installation and we will use reasonable efforts not to damage your Property.

11.2 In the event that any damage is caused by us to your Property as a result of our undertaking the Installation:

(a) you must use reasonable efforts to give written notice of the damage within 30 days of the completion of the Installation (or if any damage is hidden from view, within 30 days of the time when you become aware of it);

(b) you must give us a reasonable opportunity to repair any damage caused to your Property;

I. within 24 hours if the damage affects the health and safety of anyone who lives in your Property, or could affect the health and safety of anyone outside the Property;

II. within 24 hours if the damage or defect has a significant impact on any vulnerable people either outside or living in your Property (for instance children or anyone who is elderly or disabled);

III. within 14 days in all other circumstances.

11.3 In the event that you are notified of a risk of damage to your Property and you request that works continue regardless of such risk, we cannot be held liable for any resulting damage.

11.4 We will use reasonable efforts to minimise the amount of dust and other debris that is caused during the Installation. We will try to advise you about the areas which are likely to be affected and you are responsible for ensuring that any possessions are suitably protected or moved from the areas where the dust or debris is likely to spread.

11.5 You accept that the Installation may cause damage to finishings both internally and externally and that certain areas may need redecoration following completion of the Installation. Redecoration will be your responsibility and it is not included within the Quotation.

12. INTELLECTUAL PROPERTY RIGHTS

12.1 The trade marks, copyright, design right and all other intellectual property rights in any materials and other documents or items that we propose or produce for you in connection with the installation will belong to us absolutely, or be licenced to us.

12.2 You may not use the materials, documents or other items provided by us for any commercial purposes.

13. LIMITATION OF LIABILTY

13.1 No provision of these Terms will adversely affect your rights as a consumer (as defined in the Unfair Contract Terms Act 1977, the Unfair Terms in Consumer Contracts Regulations 1999 and the Consumer Protection from unfair Trading Regulations 2008).

13.2 Subject to condition 12.5, if either of us fails to comply with these Terms, neither of us shall be responsible for any losses that the other suffers as a result, except for those losses which are a foreseeable consequence of the failure to comply with these Terms.

13.3 We will not be liable in the event that your television reception or broadband signal is affected by the installation of the System at your Property.

13.4 We will not be liable for any loss due to any grid connection issues at your Property.

13.5 Where we are connecting new equipment to your existing system we will not be responsible for any loss due to the need to replace or repair parts of your existing system which develop a fault unless we have caused the fault due to our negligence.

13.6 Neither of us shall be responsible for losses that result from our failure to comply with these Terms including, but not limited to, losses that fall into the following categories:

(a) loss of income or revenue including, but not limited to, any loss of grant, subsidy or other funding;

(b) loss of business;

(d) loss of data; or

(e) any waste of time including, but not limited to, any losses due to taking time off work or holiday time.

This condition 13.6 shall not, however, prevent claims for foreseeable loss of, or damage to, your Property as described in condition 11.

13.7 We will not be liable to you if we are prevented or delayed from complying with our obligations under the Contract by anything you or anyone acting on your behalf does or fails to do.

13.8 This condition does not include or limit in any way our liability for:

(a) death or personal injury caused by our negligence; or

(b) fraud or fraudulent misrepresentation; or

(c) any breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or

(d) losses for which it is prohibited by section 7 of the Consumer Protection Act 1987 to limit liability; or

(e) any other matter for which it would be illegal or unlawful for us to exclude or attempt to exclude our liability.

14. EVENTS OUTSIDE OUR CONTROL

14.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (“Force Majeure Event”).

14.2 A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond our reasonable control and includes, in particular (without limitation), the following:

(a) strikes, lock-outs or other industrial action; or

(b) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; or

(c) illness, inclement weather, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster; or

(d) impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; or

(e) impossibility of the use of public or private telecommunications networks; or

(f) sudden and unexpected changes made by government in respect of any scheme, legislation or regulations; or

(g) failure of any third party to perform its registration obligations, including but not limited to, energy retailers, accreditation bodies, or governmental bodies.

14.3 Our obligations under these Terms are suspended for the period that the Force Majeure Event continues, and we will have an extension of time to perform these obligations for the duration of that period. We will take reasonable steps to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms can be performed despite the Force Majeure Event.

15. DATA PROTECTION

15.1 We are a registered data controller under the Data Protection Act and are committed to treating all information you provide in accordance with our legal obligations.

15.2 The personal information you provide to us, including your contact details and information and photographs taken during your assessment or installation, regarding your Property will be used by us to:

(a) undertake the Installation and any associated services;

(b) contact you about our and our partners similar services and products;

(d) to make all required registrations including but not limited to warranty/guarantee registrations and any relevant certification registration; and

(e) pass to third party inspection companies to undertake a technical inspection at our instruction; and

(f) to supervisory organisations who supervise and/or help regulate the specialist installation activities provided

15.3 We do share your personal information with our retail partners if you have applied under a retail scheme we manage on their behalf.

15.4 If you wish to change your marketing preferences at any time, or have any other queries regarding data protection, please contact us using the details printed on the Installation Confirmation.

15.5 We may monitor and record all communications we have with you, (including emails and telephone conversations), to make sure that we meet our legal and regulatory duties and to make sure that we are providing a good service to you.

16 COMPLAINTS PROCEDURE

16.1 We will always be fair and reasonable. Should you ever feel that we have failed to honour our promise, we will seek to ensure that your complaint is dealt with quickly and fairly. 16.3 We will endeavour to acknowledge your complaint immediately and will respond with a proposal to resolve your complaint within five business days. We will attempt to resolve any issues immediately, however, if we are unable to do this, we will ensure you are kept informed of the progress on a regular basis.16.4We endeavour to resolve all issues within 4 weeks of receipt of the complaint, however in the unlikely event that we are unable to provide a solution within this timeframe; we will write and let you know the reasons for the delay and the specific actions being taken.

17. GENERAL

17.1 The Contract constitutes the whole agreement between you and us for the provision of the Installation and supersedes any other terms and conditions previously published by us, and any other representations or statements made by us to you, whether oral, written or otherwise, are excluded.

17.2 Both of us acknowledge that no statement, representation, assurance or warranty (whether made negligently or innocently) has been relied on in entering into the Contract (except for the provisions expressly set out in the Contract). Nothing in this condition shall, however, limit or exclude any liability for fraud.

17.3 You may not transfer or sub-contract any of your rights or obligations under these Terms to a third party.

17.4 We may, at any time, assign, transfer or sub-contract all or any of our rights and obligations under these Terms to another organisation, but this will not affect your rights under these Terms.

17.5 Both of us are acting on our own behalf and not for the benefit of any other person.

17.6 No relaxation or delay by us in exercising any right or remedy under these Terms will operate as a waiver of that right or remedy or affect our ability to subsequently exercise that right or remedy. Any waiver must be agreed by you and us in writing.

17.7 We may correct any typographical error or omission in any documentation we supply to you without any liability on our part provided that, if the correction has a material impact on the service we provide or the price you pay, then we will inform you as soon as possible and offer you the option to cancel the Contract.

17.8 If any court or competent authority decides that any of the provisions of these Terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.

17.9 A person who is not party to these Terms shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.

17.10 The Contract, and any dispute arising out of it (including any non-contractual disputes or claims) shall be governed by English law and we both agree to the non-exclusive jurisdiction of the English courts.

Competition Prizes

17. Where a prize is linked to an offer, prize winners will be chosen at random unless specified otherwise in the Offer Notice, from all qualifying Entries within 28 days of the closing date if specified in the Offer Notice. Tie–breakers will be judged by Enact Energy and, if required by law, by an independent adjudicator. In all matters, the decision of the judge(s) and Enact Energy shall be final and no correspondence or discussion shall be entered into.

18. Prize winners will be notified in the manner and within the time specified on the Offer Notice. Return of any prize notification as undeliverable or failure to reply as specified in the notification (and within the time stated) may result in disqualification and selection of an alternate winner. Offer winner(s)’ names may be published on the website or you can write to Enact Energy, Enact House, Tolvaddon Energy Park, Cornwall, TR14 0HX naming the specific competition including a self-addressed stamped envelope for a list of winners.

19. Claims for prizes must be made in the manner and within the time specified on the Offer Notice. Failure to claim a prize within this time or in the manner specified may result in disqualification and selection of an alternate winner.

20. Prizes are non–transferable. Enact Energy reserves the right to substitute prizes of equal or greater value at any time.

21. Prizes are awarded at Enact Energy‘s discretion and no prizes will be awarded as a result of improper actions by or on behalf of any entrant.

22. Where a prize may not be appropriate for a younger contestant, the minimum age for entry will be stated in the Offer Notice and must be observed. Enact Energy reserves the right to request written proof of age of any winner.

23. All taxes, insurances, transfers, spending money and other expenses (including meals or personal expenses upgrades etc.) as the case may be, unless specifically stated, are the sole responsibility of the prize winner.

Intellectual Property Rights & Use of Entries

24. Enact Energy does not, unless we agree this with you, claim any rights of ownership in your Entry/application. As such, you retain ownership and, although Enact Energy will be able to use Entries/applications as set out in the Rules, you will also have the right to use your Entry in any way you choose. Where any Entry is to be used in a different way (e.g. we are asking to own this) this will be made clear on the website and you will then be able to choose whether to enter the Offer.

25. In consideration of Enact Energy agreeing to consider entrants a competition, each entrant hereby agrees that Enact Energy (and third parties authorised by Enact Energy) may make any and all Entries available on the website and any other media, whether now known or invented in the future, which may include other internet sites, mobile, television and/or radio and that Entries may be made available with advertising and/or sponsorship. You now grant Enact Energy (and third parties authorised by Enact Energy) a non-exclusive, worldwide, irrevocable licence (for the full period of any rights in the Entry) to use, display, publish, transmit, copy, make derivative works or podcasts from, edit, alter, store, re-format, sell and sub-licence the Entry for such purposes.

26. Enact Energy does not guarantee to use or otherwise make available any Entry to a competition. Liability

28. Enact Energy cannot accept any responsibility for any damage, loss, injury or disappointment suffered by any entrant entering the Competition or Offer or as a result of accepting any prize or offer reward. Enact Energy is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment or software, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet, telephone lines or at any web site, or any combination thereof, including any injury or damage to entrant´s or any other person´s computer or mobile telephone related to or resulting from participation or downloading any materials in the Competition or Offer. Data Protection and Publicity

29. Winners of competitions may be requested to take part in promotional activity and Enact Energy reserves the right to use the names and addresses of winners, their photographs and audio and/or visual recordings of them in any publicity.

Any personal data relating to entrants will be used solely in accordance with current UK data protection legislation and will not be disclosed to a third party without the individual‘s prior consent. Free Loft & Cavity Wall Insulation Offer

2. Subject to a suitability assessment and limited funding.

Enact Energy will match its competitors’ prices for solar electricity systems, pursuant to these terms:

1. The offer is available from 11 May 2011 and up to and including the 31 December 2011 (the “Offer Dates”), subject to availability, and may change or be withdrawn at any time without prior notice at the entire discretion of Enact Energy.

2. Applications submitted outside the Offer Dates will not qualify for this offer.

3. By claiming a price match, the customer is subsequently no longer eligible for any other promotional discount unless such promotion clearly indicates to the contrary.

4. Enact Energy will match its price to that of a competitor, provided that all of the following items are, in Enact Energy’s opinion, equal to those offered by Enact:
(a) system specification;
(b) product quality;
(c) brand;
(d) installation lead time;
(e) deposit;
(f) terms and conditions of the provision of services;
(g) guarantees;
(h) warranties;
(i) terms of business.

5. The competitor providing the quote must be MCS accredited and the works must be carried out by MCS accredited installers and use MCS accredited products. The installer must also be a member of the REAL Assurance Scheme and all work must be carried out according to the REAL and MCS codes of contact.

6. To be eligible for the offer, the customer must provide a copy of the dated quote, clearly specifying the items listed in paragraphs 4 and 5 above, from the competitor of Enact Energy along with full contact details for the installer so that Enact Energy may verify the quote. Verification will be based but not limited to evidence in the form of a scanned written quotation, a URL or a screen shot of the website.

7. The competitor’s quote must contain written details of the design and specification of the solar panel system, together with product names, details of any additional items or special instructions and details of any deposit required and payment terms prior to any price being matched.

8. The competitor price to be matched must include VAT and any delivery or installation charges and can be a standard or promotional price.

9. Price matches will only be made on the selling price of the goods. Gifts, ‘giveaways’, or systems being given away for free will not be considered by Enact Energy.

10. The offer is only valid for 21 days after the date of the competitor quote. Quotes more than 21 days old will not be considered.

11. The offer is only valid when comparing the price of a residential solar electricity system under 4kWp offered by Enact Energy to that offered by another retailer in the Mainland Great Britain.

12. The offer does not apply to prices offered on auction websites or a competitor based outside of the United Kingdom.

13. If Enact Energy matches a competitor’s price and the competitor subsequently lowers their price Enact Energy will not match it a second time.

We may collect and process the following data about you:
(a) information that you provide by filling in forms on our sites www.enactenergy.com and www.enactenergy.co.uk (our site). This includes information provided at the time of registering to use our site, ordering products, posting material or requesting further services. We may also ask you for information when you report a problem with our site;
(b) information provided to other organisations where you have provided your consent to those organisations passing your data to third parties;
(c) if you contact us, we may keep a record of that correspondence;
(d) we may also ask you to complete surveys that we use for research purposes, although you do not have to respond to them; and

2 IP ADDRESSES AND COOKIES
2.1 We may collect information about your computer, including where available your IP address, operating system and browser type, for system administration and to report aggregate information to our advertisers. This is statistical data about our users´ browsing actions and patterns, and does not identify any individual.
2.2 Our site also uses Google Analytics, a web analysis service provided by Google Inc (Google). Google Analytics uses “cookies”, which are text files placed on your computer to help the website analyse how you use our site. The information generated by the cookie about your use of the website (including your IP address) will be transmitted to and stored by Google on servers in the United States. 3 WHERE WE STORE YOUR PERSONAL DATA
3.1 The data that we collect from you may be transferred to, and stored at, a destination outside the European Economic Area (EEA).
